Terms & Conditions

  1. General These terms and conditions apply in preference to and supersede any terms and conditions referred to, offered or relied on by the seller whether in negotiation or at any stage in the dealings between the seller and buyer with reference to the goods to which this contract relates. Without prejudice to the generality of the foregoing, the seller will not be bound by any standard or printed terms furnished by the buyer in any of its documents, unless the buyer specifically states in writing separately from such terms that it intends such terms to apply and the seller acknowledges such notification in writing.
  2. Variation Neither the buyer nor the seller shall be bound by any variation, waiver of or addition to these conditions except as agreed by parties in writing and signed on their behalf.
  3. Description The description of the goods has been given by way of identification only and the use of such description shall not constitute a sale by description.
  4. Sample Not with standing that a sample of the goods has been exhibited to and inspected by the buyer, it is hereby declared that such sample was so exhibited and inspected solely to enable the buyer to judge for himself the quality of the bulk, and not so as to constitute a sale by sample.
  5. Liability The buyer shall carry out a thorough inspection of the goods within 7 days of their delivery and shall give written notification to the seller forthwith of any defects which a reasonable examination would have revealed. In the case of other defects, the buyer shall give written notification of defects in the goods within 3 months from the date of delivery. Subject to compliance with the above obligations, which shall be a condition precedent to the seller’s liability, the seller will assign to the buyer its rights against its supplier and these rights shall be taken in extinction of and substitution for any rights which the customer would otherwise have had against the seller. The liability of the seller under this guarantee shall be limited to the invoice value of the components replaced and the seller shall not be liable for any consequential loss or damage howsoever caused. It shall be the duty of the buyer to ensure against such consequential loss and to hold the seller harmless therefore.
  6. Price (a) All quotations and estimates issued by the seller are, unless otherwise stated, based on the current cost of production (materials, hours and wages) and are subject to amendment on or after acceptance to meet any rise or fall in such cost. (b) Any variation to prices quoted as a result of government taxes and levies will be for the buyer’s account. We reserve the right to alter pricing without prior notice.
  7. Payment Payment is due by debit or credit card at the time of ordering. If a credit account is established then (a) Payment for goods supplied under the contract is due by the 30th day from date of invoice. (b) If payment of the price or any part thereof is not made by the due date, the seller shall be entitled: (i) to charge interest on the outstanding amount at the U.K. Clearing Banks’ Base Rate plus 5% per annum to cover any financial loss incurred by the seller; (ii) to require payment in advance of delivery of undelivered goods; (iii) to refuse to make delivery of any undelivered goods whether ordered under the contract or not and without incurring any liability whatever to the buyer for non-delivery or any delay in delivery; (iv) to terminate the contract.
  8. Handling Charge All orders are free of handling and admin with the following exception: Orders below £72.00 (inc. VAT) will be subject to a £6.18 (inc. VAT) handling & admin charge.
  9. Delivery The seller will deliver the goods within the United Kingdom by any method of transport at the seller’s option.
  10. Non-Delivery Claims for non-delivery or damaged goods must be made within 14 days from date of despatch.
  11. Time The seller undertakes to use its best endeavours to despatch the goods on the promised delivery date, but does not guarantee to do so. Time of delivery shall not be of the essence of the contract unless expressly so stipulated in writing.
  12. Return of Goods No goods will be accepted for credit unless by prior arrangement in writing by both the seller and buyer. In the case of a request for return of goods by the buyer, the seller reserves the right to make administrative charges for acceptance.
  13. Property The property in the goods will not pass to the buyer until the payment of the price has been made in full.
  14. Law The contract shall be deemed to have been made in England and the parties to the contract hereby submit to the jurisdiction of the English courts. English law shall be the proper law of the contract.
  15. Prices This price list is effective from January 2008 and cancels all previous price lists.
  16. Value Added Tax Prices on this site include VAT. This will be shown on invoices. Items which are Zero rated will be shown as such on invoices. NEW CREDIT ACCOUNTS must be supported by bank and two independent references. Please contact us for a credit reference bank authorisation form. Please note that on occasions other brands may be substituted for those shown in the catalogue.
